Terms of Service

Welcome to Woovli! These Terms of Service ("Terms") govern your use of our platform, including our website, mobile applications, and services (collectively, the "Service").

By accessing or using Woovli, you agree to be bound by these Terms. If you disagree with any part of these terms, you may not access our Service.

To use Woovli, you must:

• Be at least 18 years old or have parental/guardian consent
• Be a resident of Kenya with a valid M-Pesa account
• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Not have been previously banned from the platform

For Resellers:

• You are responsible for all activity on your account
• You must provide accurate business and payment information
• You may not share or transfer your account to others
• You must comply with all applicable laws when selling products

For Merchants/Suppliers:

• You must have legal rights to sell all products you list
• Product descriptions must be accurate and complete
• You are responsible for product quality and authenticity
• You must fulfill orders within stated timeframes

You agree NOT to:

• Sell counterfeit, illegal, or prohibited products
• Engage in fraudulent or deceptive practices
• Manipulate prices or engage in price fixing
• Spam customers or abuse communication channels
• Violate intellectual property rights
• Circumvent platform fees or payment systems
• Use automated tools to scrape or collect data
• Impersonate others or create fake accounts

Transaction Process:

• All payments are processed through our secure escrow system
• Customer payments are held until successful delivery confirmation
• Reseller profits are released automatically upon delivery
• Merchant payments are released after deducting applicable fees

Fees:

• Resellers: No platform fees - keep 100% of your markup
• Merchants: Platform fee of 5% per successful transaction
• M-Pesa transaction fees apply as per Safaricom rates
• We reserve the right to modify fees with 30 days notice

48-Hour Return Policy:

• Customers have 48 hours from delivery to request returns
• Returns accepted for defective, wrong, or damaged items
• Items must be unused and in original packaging
• Return shipping paid by merchant for defective items

Dispute Resolution:

• All disputes must be reported within 7 days of delivery
• Woovli will mediate disputes fairly and impartially
• Evidence (photos, videos) must be provided for claims
• Our decision on disputes is final

Woovli and its original content, features, and functionality are owned by Woovli Kenya and are protected by international copyright, trademark, and other intellectual property laws.

By uploading content to our platform, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute that content on our Service.

Woovli acts as a marketplace platform connecting buyers, resellers, and suppliers. We are not responsible for:

• Product quality, safety, or legality
• Disputes between users
• Delivery delays caused by third parties
• Loss of profits or business opportunities
• Unauthorized access to your account

Our total liability is limited to the fees paid to us in the past 3 months.

Your use of Woovli is also governed by our Privacy Policy. We collect and process your data in accordance with Kenyan data protection laws.

By using our Service, you consent to such collection and processing.

We may suspend or terminate your account if:

• You violate these Terms
• You engage in fraudulent activity
• We receive multiple customer complaints
• Required by law or legal process

You may close your account at any time. Outstanding payments and obligations remain due after termination.

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or platform notification at least 30 days in advance.

Continued use of the Service after changes constitutes acceptance of the new Terms.

These Terms are governed by the laws of the Republic of Kenya. Any disputes shall be resolved in the courts of Nairobi, Kenya.
